7 Questions to Ask Before You Roll Over an Old 401(k)

Rolling an old 401(k) into an IRA is presented as housekeeping. One account instead of four, one login, one statement.
Sometimes that is exactly right. Sometimes it quietly gives up a protection or a tax treatment you cannot get back, and nobody mentions it because the person helping you consolidate is not the person who would have known.
These are the seven questions to ask before you roll over an old 401(k). Ask them of the old plan, the new destination, and whoever is helping you decide.
1. What Are the All-In Fees on Both Sides?
Compare the total cost, not the headline expense ratio. That means the plan's administrative or recordkeeping fee, the fund-level expense ratios, and any advisory fee that would apply to the IRA once the money lands.
Large employer plans sometimes hold institutional share classes that are cheaper than anything you can buy retail. Small employer plans sometimes carry recordkeeping costs that make almost any IRA look good.
Ask the plan for the fee disclosure in writing. The answer is often the deciding factor and it takes one email to get.
2. Do You Hold Employer Stock in the Plan?
If your 401(k) holds appreciated stock of the company you worked for, rolling everything to an IRA may forfeit a treatment called net unrealized appreciation.
The mechanics: in a qualified lump sum distribution, you can move the employer stock in kind to a taxable account and pay ordinary income tax only on the cost basis, with the appreciation taxed as long-term capital gain when you eventually sell. Roll the same shares into an IRA and every future dollar comes out as ordinary income.
The rules are strict about what qualifies as a lump sum distribution and about the triggering events, and the strategy is not automatically better. It creates a current tax bill and leaves you concentrated in one stock. But it is a decision that generally cannot be reversed once the shares are in the IRA, so it is worth pricing before you move anything.
3. Are You 55 or Older and Separating From Service?
The rule of 55 lets you take distributions from the plan of the employer you just left, without the 10 percent early distribution penalty, if you separate from service in or after the year you turn 55. Public safety employees have an earlier age under separate rules.
That exception lives in the plan. Roll the money to an IRA and it does not follow, and the IRA's own exceptions, including substantially equal periodic payments, are more restrictive to run.
If you are retiring early and might need money before 59 and a half, this question comes before the consolidation question.
4. Does the Plan Hold After-Tax or Roth Money?
Old plans often contain a mix: pre-tax deferrals, employer match, designated Roth, and sometimes plain after-tax contributions that are not Roth.
Each type has a destination. Pre-tax and match go to a traditional IRA. Designated Roth goes to a Roth IRA and carries its own holding period questions. After-tax dollars can often be directed to a Roth IRA while the associated earnings go to a traditional IRA.
Get a breakdown by source from the recordkeeper before the paperwork goes in. Untangling a commingled rollover afterward is tedious and sometimes expensive.
5. Will an IRA Balance Complicate a Backdoor Roth?
This one catches high earners specifically.
If you make nondeductible contributions to a traditional IRA and convert them to Roth, the pro-rata rule under IRC section 408(d)(2) looks at all of your traditional, SEP, and SIMPLE IRA balances together when calculating the taxable portion of the conversion. A large rollover balance sitting in a traditional IRA can turn a nearly tax-free conversion into a largely taxable one.
Money left in a 401(k), or later rolled into a current employer's plan if that plan accepts rollovers, is not counted in that calculation.
If the backdoor Roth is part of your annual plan, this question can outweigh the fee comparison entirely.
6. Direct Transfer or Check?
Always ask for a direct trustee-to-trustee transfer.
If the plan instead sends a distribution payable to you, it is generally required to withhold 20 percent for federal income tax. You then have 60 days to deposit the full original amount, including the withheld 20 percent that you now have to fund from savings, or the shortfall is treated as a taxable distribution and may carry a penalty.
There is also a once-per-12-month limit on 60 day rollovers between IRAs. Direct transfers avoid both problems. It is the same destination and a different form.
7. What Are You Giving Up in Protection and Flexibility?
Two practical items that get skipped.
Employer plan assets are generally protected from creditors under federal law. IRA protection outside bankruptcy depends on state law and varies considerably, which matters more for business owners and professionals with liability exposure.
And if you have an outstanding 401(k) loan, leaving the employer usually starts a clock. An unpaid balance can become a deemed distribution, taxable and possibly penalized, and rolling the account does not fix the loan.

None of these questions have universal answers. The right choice depends on your plan's actual documents, your age, your tax bracket now versus later, and what else you own.

In a qualifying lump sum distribution, you pay ordinary income tax on the stock's cost basis and the appreciation is taxed at long-term capital gains rates when sold. The rules are technical and the strategy concentrates risk in one stock, so it warrants professional review before you act.
