That is not a typo and it is not a penalty. It is the $800 annual tax plus the LLC fee, and the fee is calculated on total California income, which is gross income plus cost of goods sold, rather than on profit. Finding the best accountants in California for the LLC fee and franchise tax matters less because of clever planning and more because these are three separate filings on three separate dates, and most of the damage owners take here is administrative.

What California Actually Charges an LLC
Two different bills, and people mix them up constantly.
The $800 annual tax. Every LLC doing business in or organized in California owes $800 a year, whether it is profitable, dormant, or losing money, until it formally cancels. The same $800 annual tax applies to LPs and LLPs. Corporations owe an $800 minimum franchise tax instead, meaning they pay the greater of the tax on their net income or $800, on a different due date. General partnerships do not owe it.
The LLC fee. This is separate, and it is the one that surprises people. It is based on total California income, which the FTB defines as gross income plus cost of goods sold attributed to California. There is no deduction for operating expenses.

So a distributor doing $1.2 million in revenue at a net loss owes $800 plus $6,000. Line 1 of Form 568 cannot be a negative number.
The First-Year Break Is Gone, and the New One Does Not Start Until 2027
The exemption that waived the first-year $800 for LLCs, LPs, and LLPs applied only to entities that organized or registered with the Secretary of State on or after January 1, 2021 and before January 1, 2024. It expired. An LLC registering in California in 2026 owes the full $800 for its first year.
Two narrow escapes remain: the 15-day rule, if the entity conducted no business in California and its tax year was 15 days or fewer, and short-form cancellation within one year of organizing.
Worth knowing but not yet useful: SB 122, signed June 29, 2026, cuts the first-year annual tax to $400 for LPs, LLPs, and LLCs, but only for tax years beginning on or after January 1, 2027 and before January 1, 2030. It does nothing for a 2026 registration.
One asymmetry that catches founders: the corporate first-year minimum franchise tax waiver is permanent and still in effect. A newly incorporated California corporation is not required to pay the minimum franchise tax in its first taxable year, though first-year net income is still taxed at 1.5% for an S corporation or 8.84% for a C corporation.
Three Deadlines a California LLC Fee Accountant Watches
This is where most of the avoidable money goes.
- FTB 3522, the $800 LLC tax voucher. Due the 15th day of the 4th month after the beginning of the taxable year. For calendar-year 2026, that is April 15, 2026. Note the logic: you are paying for the current year, early, not settling up for last year.
- FTB 3536, the estimated LLC fee. Due the 15th day of the 6th month of the current taxable year, so June 15, 2026 for calendar-year filers. Underpay it and there is a 10% penalty on the underpayment. The safe harbor is straightforward: no penalty if what you pay by the due date equals or exceeds your total fee for the prior taxable year.
- Form 568, the LLC Return of Income. Due the 15th day of the 3rd month after year end for LLCs taxed as partnerships and for single-member LLCs owned by a pass-through entity. Other single-member LLCs get the 15th day of the 4th month.

The framing is operational rather than compliance-first, which suits a business whose LLC fee tier is about to jump. Crossing from $499,999 to $500,000 in California income costs $1,600 more in fee. That is a cash-timing question, and it is the kind of thing an operator-minded firm raises in November rather than in March.

For a founder whose California exposure is a question rather than a given, that combination matters. Residency, apportionment, and where an entity is "doing business" are the three inputs that decide whether the $800 and the fee apply at all.

What to Ask a California LLC Fee Accountant Before You Hire
Five questions that separate real answers from vague ones:
- How do you calculate my California total income for the LLC fee, and what gets sourced out of state?
- Will you file FTB 3536 for me, or is that on me to remember in June?
- If I am close to a fee tier boundary, when will you tell me?
- Am I better off as an LLC taxed as a partnership, an S corporation, or something else, given the $800 applies either way?
- What is included in your fee, and what is billed separately?

One More Thing About Multiple LLCs
Owners sometimes float splitting a business into several LLCs to stay under fee tiers. The FTB anticipated that. If it determines that multiple LLCs were formed primarily to reduce the fee, it can aggregate the income of commonly controlled LLCs, meaning entities sharing more than 50% of capital or profits interests. Structure decisions should have a business reason first.
