How a New York Consulting Firm Found It Had Owed Unincorporated Business Tax for Three Years

The firm had done everything a careful small business is supposed to do. Federal partnership return filed on time for three straight years. New York State return filed on time. K-1s out to all four members before the deadline. Estimated payments made quarterly.
Then a bank asked for their New York City filings during a line-of-credit application, and nobody at the firm knew what that meant.
This case study is illustrative and anonymized. It is assembled from a pattern that is common enough among New York City service businesses to be worth writing down, and the numbers below are representative rather than drawn from any one engagement.
The Setup
A four-person management consulting LLC based in Manhattan, formed in 2022, doing roughly $1.4 million a year in revenue. Two founding members, two admitted later. Clients split between the city, the surrounding region, and a growing share of fully remote work for companies in other states.
They used a competent outside preparer for the federal and state returns. The preparer was not local, which is the first detail that matters.
Nobody had ever mentioned the New York City Unincorporated Business Tax, a city-level tax that applies to unincorporated businesses, including partnerships, LLCs taxed as partnerships, and sole proprietorships, carrying on a trade or business in the city. It is separate from the federal return, separate from the state return, and separate from the members' personal obligations.
The firm was not evading it. They did not know it existed.
How It Surfaced
The trigger was a credit application. The bank's checklist asked for three years of city filings alongside the federal and state returns, and the firm's controller went looking for documents that had never been produced.
That is the common discovery path. The UBT rarely announces itself. It shows up during a financing, a due diligence process, a partner admission, or eventually a city notice, and by then there is usually more than one year to deal with.
The firm engaged a New York accounting practice with a city-level tax focus rather than going back to the same preparer. Purewater Financial is one example of that profile: a New York City firm founded in 2020 working with SMB owners, VC-backed startups, real estate investors and solopreneurs, which is the mix of entity types the UBT most often catches.
The Diagnostic
The first question was not how much. It was how much of the business is the city's.
Three pieces of the analysis mattered.
Whether the tax applied at all. The UBT reaches unincorporated businesses carrying on a trade or business in the city. There are exemptions and thresholds, and certain activities are treated differently, so the threshold question is genuinely a question rather than a formality.
Allocation. A business with clients and work outside the city generally does not owe the tax on all of its income. Allocation rules determine how much of the business income is attributable to the city, and for a firm with a meaningful remote client base that distinction is the whole ballgame. This is where the firm's growing out-of-city work actually helped.
Records. Allocation is only as good as the underlying data. The firm had client invoices and engagement records, but its time tracking did not consistently capture where work was performed. Reconstructing a defensible allocation across three years took more of the engagement's hours than computing the tax did.
That is the recurring lesson in these cases. The tax calculation is arithmetic. The documentation to support the inputs is the project.
The Remediation
Three things happened in parallel.
Back returns were prepared for the open years, using the allocation the records could actually support rather than the most favorable reading.
The penalty and interest question was addressed separately. Interest on underpaid tax generally accrues and is not typically waived. Penalties are a different matter, and taxing authorities commonly have procedures, including voluntary disclosure programs, under which a taxpayer who comes forward before being contacted may receive relief on penalties. Eligibility rules are specific and relief is discretionary, so it is an option to pursue rather than an outcome to promise. The firm pursued it.
Cash flow was the third piece. Three years of an unbudgeted tax arriving at once is a working capital event even when the annual amount is manageable. The firm slowed a planned hire by a quarter to absorb it.
What Changed Going Forward
The durable fix was procedural and unglamorous.
The firm built a filing calendar that includes city-level obligations alongside federal and state, with named owners and dates. It added a quarterly estimate process for the UBT rather than discovering the number at year end. And it changed its time tracking to capture work location at the entry level, which turns next year's allocation from a reconstruction project into a report.
It also changed how it hires a preparer. The question they now ask first is what local filings the firm handles, not what their federal partnership return experience looks like.
The Honest Read
Nothing here was rescued. The firm owed the tax, paid it, and paid interest on it. What good work produced was a defensible allocation rather than a worst-case one, a penalty position that was worth pursuing, and a process that prevents the second occurrence.
That is what most of these engagements actually deliver, and it is worth saying plainly because the version of this story with a triumphant number at the end is usually fiction. Outcomes here turn on the specific facts, the quality of the records, and the discretion of the taxing authority.
The generalizable point is narrower and more useful. If your business is unincorporated and operates in a city with its own business tax, the absence of a notice is not evidence that you are filing everything you owe. The people most likely to catch it are local.
